Website Terms of Use

These Website Terms of Use (“Terms”) govern access to and use of the SoloFire website, including any subdomains, login portals, content, and functionality made available through the website (the “Site”), operated by SoloFire, Inc., a Delaware corporation (“SoloFire,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

  • Scope of Terms; Separate Subscription Agreements. These Terms govern use of the Site only. If you are accessing SoloFire’s software platform or services pursuant to a separate Master Subscription Agreement (solofire.com/msa) or other written agreement with SoloFire, that agreement governs your use of the Services. In the event of a conflict between these Terms and a signed written agreement between you and SoloFire regarding the Services, the signed agreement controls.
  • Eligibility. The Site is intended for use by business professionals. You represent that you are at least eighteen (18) years old and are accessing the Site on behalf of a business entity or for legitimate business purposes.
  • Site Access and Accounts. Certain portions of the Site may require login credentials. Account access to SoloFire’s software platform is provisioned through enterprise onboarding and is subject to a separate subscription agreement.

You are responsible for maintaining the confidentiality of any login credentials used to access restricted areas of the Site and for all activity occurring under your credentials. SoloFire reserves the right to suspend or terminate access to the Site at any time for violation of these Terms or for security reasons.

  • Permitted Use. You may access and use the Site solely for lawful business purposes related to evaluating or learning about SoloFire’s products and services. You agree not to:
  • Copy, reproduce, modify, or create derivative works from the Site or its content;
  • Reverse engineer, decompile, or attempt to extract source code from any software accessible via the Site;
  • Use automated systems (including bots, scrapers, or crawlers) to access, monitor, or extract data from the Site;
  • Use the Site or its content to develop, train, or improve any artificial intelligence or machine learning models;
  • Conduct benchmarking or competitive analysis without SoloFire’s prior written consent;
  • Interfere with the security, integrity, or performance of the Site; or
  • Access the Site in violation of applicable export control or sanctions laws.
  • Intellectual Property. All content, materials, text, graphics, logos, videos, software, and other materials available on the Site (“Content”) are owned by SoloFire or its licensors and are protected by intellectual property laws.

No rights are granted to you other than the limited right to access the Site for permitted purposes. SoloFire reserves all rights not expressly granted.

SoloFire trademarks and logos may not be used without prior written consent.

  • No Reliance; Informational Content. The Site may include blog posts, videos, marketing materials, or other informational content. Such content is provided for general informational purposes only and does not constitute professional advice, regulatory guidance, or binding representations regarding product functionality.

You acknowledge that you do not rely on any statements, descriptions, or materials on the Site in entering into any agreement with SoloFire.

  • Third-Party Links. The Site may contain links to third-party websites or services. SoloFire does not control and is not responsible for third-party content, privacy practices, or terms of use.
  • Privacy. Use of the Site is subject to SoloFire’s Privacy Policy, which is incorporated by reference. The Privacy Policy describes how SoloFire collects and processes personal data through the Site.
  • International Access; Export Compliance. The Site may be accessed from jurisdictions outside the United States. You are responsible for complying with all applicable local laws.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargoes or sanctions, and you are not identified on any U.S. government restricted party list. You may not access or use the Site in violation of applicable export control or sanctions laws.

  • Disclaimer of Warranties. THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SOLOFIRE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SoloFire does not warrant that the Site will be uninterrupted, secure, or error-free.

  • Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLOFIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

SOLOFIRE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

  • Indemnification. You agree to indemnify and hold harmless SoloFire from and against any claims, damages, liabilities, and expenses arising from your violation of these Terms or misuse of the Site.
  • Modifications. SoloFire may update these Terms from time to time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site after updates constitutes acceptance of the revised Terms.
  • Governing Law; Venue; Jury Waiver. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Delaware, and the parties waive any right to a jury trial.

  • Miscellaneous. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement regarding the Site and supersede prior understandings related to the Site.
